End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Amigos AI Inc, a Delaware corporation (“Licensor”), for the use of the VoicePod mobile application (“App”). By installing or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

This EULA is supplemental to Apple’s Standard Licensed Application End User License Agreement (“Standard EULA”). To the extent this EULA conflicts with Apple’s Standard EULA, this EULA shall govern.

1. License Grant

Subject to your compliance with this EULA, Amigos AI Inc grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service.

2. License Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the App;
• Reverse-engineer, decompile, or disassemble the App or its AI models;
• Extract, copy, or redistribute the AI models bundled with the App;
• Use the App for any unlawful purpose or in violation of any applicable law;
• Use the App to generate content that violates the Prohibited Uses set forth in our Terms of Service;
• Remove, alter, or obscure any proprietary notices in the App.

3. Voice Cloning Restrictions

The voice cloning feature is provided for personal, lawful use only. You must:

• Only clone your own voice, or the voice of a person who has given you explicit written consent;
• Ensure the voice owner is at least 18 years of age;
• Not use cloned voices to impersonate, deceive, defraud, or harass any person;
• Not create synthetic voice content for illegal purposes, including but not limited to fraud, election interference, or the creation of non-consensual intimate content;
• Comply with all applicable biometric privacy laws, right of publicity laws, and AI regulations in your jurisdiction.

You are solely responsible for your use of the voice cloning feature and any content you create with it.

4. Free Tier & Subscription Terms

The App is available with a free tier that includes limited features, such as a limited number of voice clones and limited book reading. All free tier features are provided under the same license terms and restrictions in this EULA.

VoicePod Pro is offered as an auto-renewing subscription that unlocks additional features:

• Monthly: $4.99/month
• Yearly: $29.99/year

Payment is charged to your Apple ID account upon confirmation of purchase. Your subscription automatically renews unless you cancel at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time in your device’s Settings → Apple ID → Subscriptions.

Prices are in USD and may vary by region. Prices are subject to change, but any price change will not affect your current subscription period.

5. Ownership & Intellectual Property

The App and all included AI models, algorithms, software, design, and documentation are the intellectual property of Amigos AI Inc and are protected by copyright, trade secret, and other intellectual property laws.

You retain ownership of all audio content you generate using the App and all voice profiles you create. We claim no rights over your generated content.

6. No Warranty

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. AMIGOS AI INC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMIGOS AI INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR THE APP OR SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Amigos AI Inc, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the App, your violation of this EULA, or your infringement of any third-party rights, including any right of publicity, privacy, or intellectual property right.

9. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies.

10. Refunds

All purchases and subscriptions are processed by Apple. Refund requests must be submitted through Apple’s standard refund process at reportaproblem.apple.com.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the state and federal courts located in Hunt County, Texas.

12. Third-Party Beneficiary

Apple Inc. and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

13. Severability

If any provision of this EULA is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Amigos AI Inc regarding the license to use the App.
