Terms of Service

These Terms of Service (“Terms”) govern your use of the VoicePod mobile application (“App”) operated by Amigos AI Inc, a Delaware corporation (“Company,” “we,” “us,” or “our”). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Service Description

VoicePod is an on-device text-to-speech and voice cloning application. All speech synthesis and voice cloning is performed locally on your device using AI models. No content, audio, or voice data is transmitted to our servers.

2. Age Requirement

You must be at least 18 years of age to use the voice cloning features of the App. By using voice cloning, you represent and warrant that you are 18 or older. Users under 18 may use the text-to-speech features with default voices under parental supervision.

3. Voice Cloning — Consent & Responsibility

By using the voice cloning feature, you represent and warrant that:

• The voice you are cloning is your own voice, OR you have obtained explicit written consent from the person whose voice you are cloning;
• The voice belongs to a person who is at least 18 years of age;
• You will not use cloned voices to impersonate, deceive, defraud, harass, or harm any person;
• You understand that all voice processing occurs entirely on your device and you bear full responsibility for how you use the voice profiles you create.

You are solely responsible for ensuring your use of voice cloning complies with all applicable laws in your jurisdiction.

4. Prohibited Uses

You agree not to use the App to:

• Impersonate any person without their explicit consent;
• Commit fraud, phishing, scams, social engineering, or any form of deception;
• Create deepfake audio for harassment, defamation, blackmail, or intimidation;
• Interfere with elections, create misleading political content, or impersonate political figures;
• Create child sexual abuse material (CSAM) or any sexual content involving minors;
• Generate content that promotes hate speech, discrimination, or incitement to violence;
• Violate any person’s right of publicity, right of privacy, or intellectual property rights;
• Generate content that violates any applicable law, regulation, or third-party right;
• Use the App in violation of the Illinois Biometric Information Privacy Act (BIPA), the Tennessee ELVIS Act, the Texas Responsible AI Governance Act (TRAIGA), the EU AI Act, or any other applicable biometric privacy, deepfake, or AI regulation.

5. Geographic Disclaimer

Certain jurisdictions — including but not limited to Illinois, Washington, New York, Texas, and California — have specific laws governing biometric data, voice cloning, right of publicity, and synthetic media. If you reside in or are subject to the laws of these jurisdictions, you acknowledge that:

• You are solely responsible for understanding and complying with all applicable local laws before using voice cloning features;
• Additional legal obligations may apply to your use of voice cloning, including requirements for informed consent, disclosure, and restrictions on use;
• Amigos AI Inc does not provide legal advice regarding your jurisdiction’s requirements.

6. User Conduct

You are solely responsible for all content you import, generate, or distribute using the App, including text, documents, audio, and voice profiles. You agree to use the App only for lawful purposes and in compliance with all applicable laws and regulations. You must not use the App to process content that you do not have the right to use.

7. Third-Party Content

The App allows you to import and process content from various sources, including PDFs, EPUB files, and web URLs. We do not host, provide, or control any third-party content. You are solely responsible for ensuring that you have the right to access and use any content you import into the App. We make no representations regarding the legality, accuracy, or quality of any third-party content.

8. Intellectual Property

The App, including all AI models, source code, design, and branding, is the intellectual property of Amigos AI Inc and is protected by copyright and other intellectual property laws.

You own the audio content you generate using the App. We claim no ownership or rights over your generated audio, voice profiles, or imported content.

9. Subscription Terms

VoicePod Pro is available as an auto-renewing subscription. Subscriptions are billed through Apple’s App Store and are subject to Apple’s terms and conditions. Subscription details:

• Payment is charged to your Apple ID account at confirmation of purchase;
• Subscription auto-renews unless canceled at least 24 hours before the end of the current period;
• You can manage or cancel your subscription in your device’s Settings → Apple ID → Subscriptions;
• No refunds are provided for partial subscription periods; refund requests should be submitted through Apple at reportaproblem.apple.com.

10. Indemnification

You agree to indemnify, defend, and hold harmless Amigos AI Inc, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use or misuse of the App;
• Your violation of these Terms;
• Your violation of any applicable law or third-party right, including any right of publicity, privacy, or intellectual property right;
• Any voice profile you create or any content you generate using the App.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMIGOS AI INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Termination

We reserve the right to terminate or restrict your access to the App at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Hunt County, Texas.

15. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at hi@voicepodai.com. If the dispute is not resolved within thirty (30) days, either party may proceed with formal legal action. You agree that any dispute will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and Amigos AI Inc regarding the App and supersede all prior agreements and understandings.

18. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page. By continuing to use the App after changes become effective, you agree to be bound by the revised Terms.
